Terms & Conditions

By accessing or using the Entropia operations platform (the "Service"), the marketing website, or any related documentation, you agree to be bound by these Terms & Conditions ("Terms").

If you are accepting these Terms on behalf of a company, you represent that you have the authority to bind that company to them.

If you do not agree with any part of these Terms, do not access or use the Service.

"Entropia", "we", "us" refers to the operator of the Entropia platform. "Customer", "you" refers to the organisation that subscribes to the Service. "Service" covers the web application, desktop application, Android PDA application, API, and connector framework. "ERP" refers to the third-party accounting or ERP system configured per tenant. "Tenant" refers to an isolated customer workspace within the Service.

You are responsible for maintaining the confidentiality of credentials used to access the Service and for all activity under your tenant.

You must provision user accounts with the least privilege required for each operator role and remove access promptly when a user leaves your organisation.

We may suspend access to a tenant where we reasonably suspect unauthorised use, a security incident, or a breach of these Terms.

The Service is offered per tenant with module-based pricing (Starter, Pro, Enterprise) and per-deployment rhythm as described on the pricing page.

Fees, billing cycle, and included modules are set out in the order form or statement of work signed between you and Entropia. The marketing pricing page is illustrative and does not override the signed agreement.

Unless stated otherwise in your agreement, fees are invoiced in advance, are non-refundable, and are exclusive of applicable taxes.

You may use the Service only for your internal business operations, including warehouse execution, food traceability, quality, manufacturing, maintenance, and ERP integration.

You may not resell, sublicense, or make the Service available to third parties as a hosted service, reverse engineer the connector framework, or use the Service to violate any law or third-party right.

You remain responsible for the accuracy of the data you enter and for the consequences of acting on Service outputs within your ERP of record.

Entropia integrates with supported ERP systems through an isolated connector layer. Entropia does not write directly to ERP database tables; all writes go through connector-specific API mappings.

Your ERP remains the accounting and financial system of record. Entropia is the system of record for logistics, manufacturing execution, quality, maintenance, and project operational cost roll-up.

You are responsible for keeping ERP credentials current and for the consequences of expired, revoked, or insufficiently permissioned credentials.

All right, title, and interest in the Service, its source code, the connector framework, documentation, and the Entropia brand remain the property of Entropia or its licensors.

Customer data — including lots, locations, movements, inspections, work orders, and configuration — remains the property of the Customer. Entropia processes it only to provide and improve the Service.

No licence is granted to the Service except as expressly set out in these Terms or your signed agreement.

We process Customer data in accordance with the Privacy Notice and applicable Canadian and Quebec privacy law, including the Act respecting the protection of personal information and the Charter of the French language (Bill 96).

ERP connection credentials are encrypted at rest using AES-256 and stored per tenant. Access to production data is restricted and logged.

Each party agrees to keep the other party's confidential information confidential and to use it only for the purpose of providing or receiving the Service.

The Service is provided "as is" and "as available". Except as required by law, Entropia makes no warranty that the Service will be error-free, uninterrupted, or that connector behaviour will match every ERP release.

You are responsible for verifying Service outputs before acting on them in regulated or financially material contexts, including food safety, lot release, and accounting postings.

To the maximum extent permitted by law, Entropia's aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you to Entropia in the twelve (12) months preceding the claim.

In no event shall Entropia be liable for indirect, incidental, special, consequential, or lost-profit damages, or for losses arising from data entered incorrectly, expired ERP credentials, or decisions made on Service outputs without verification.

These Terms apply for the duration of your subscription. You may terminate for material breach not cured within thirty (30) days of written notice.

We may terminate or suspend access for non-payment, material breach, or unlawful use after reasonable notice.

On termination, you may export your Customer data for a period set out in your agreement. Entropia will then delete Customer data except where retention is required by law.

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

The parties submit to the exclusive jurisdiction of the courts of Quebec for any dispute arising out of or relating to the Service, except where a consumer protection statute requires otherwise.

We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date.

For material changes that affect existing Customers, we will provide notice through the Service or by email before the change takes effect.

Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
